Contract vetting & risk evaluation
It is almost a normality in today’s construction environments, because of the ever shrinking pre-contract periods and reduced negotiation opportunities, that the written contract does not properly encapsulate the intention of the parties, let alone properly record the negotiations that were had. This disparity often leads to disputes in respect of the interpretation of agreements, leading to costly litigation to resolve such differences.
The independent interpretation of the meaning of the contract and the evaluation of risk in respect thereto, is a worthwhile exercise to be performed as soon as the contract has been entered into between the parties, or preferably before such date. We always maintain that if a client has signed a dud of a contract, it is better for the client to know this at the inception stage and to implement appropriate strategies to best deal with such risk, than to adopt a wait-and-see approach.
